نتطرق من خلال هذه الورقة البحثية إلى عملية استهلاك أسهم شركة المساهمة، كإحدى العمليات الخاصة التي تقوم بها الشركة المساهمة أثناء حياتها، و بما أن عملية الاستهلاك هو رد معجل لنصيب المساهم في رأس مال الشركة أثناء حياتها فهو عملية استثنائية تمس بمبدأ ثبات رأس المال، و عليه قام المشرع الجزائري بوضع آليات و قواعد هدفها حماية المساهمين عند قيام الشركة باستهلاك أسهمها أثناء حياتها، بالإضافة إلى خلق بيئة قانونية ملائمة للاستثمار و ضمان حماية أكبر للمساهمين.
و نهدف من خلال هذه الدراسة إلى تحديد مفهوم استهلاك الأسهم في التشريع الجزائري و تبيان الأهمية القانونية لعملية استهلاك رأس المال، بالإضافة إلى تحديد طبيعتها القانونية، ثم التعريج على أثارها القانونية على الشركة و المساهم و الغير على حد سواء، و من ثمة تحديد مصير الحقوق المرتبطة بالأسهم المستهلكة.
Abstract EN
The aim of this study is to demonstrate the legal importance of the redeeming shares process in Algerian legislation in particular, and to determine its legal nature and to delve into its legal effects on the company and the shareholder alike, and then to determine the fate of the rights associated with the redeemed shares since the depreciation process is an accelerated refund of the shareholder’s share in the company’s capital, then it is an exceptional process that affects the principle of capital stability, and accordingly the Algerian legislator has established mechanisms and rules aimed at protecting shareholders when the company consumes shares.
