Abstract EN

The board of directors of a shareholding company is gaining an increasing im portance at the present time, in particular the liability of the shareholding company's board members in light of the volume of great powers and duties of the board of di rectors in terms of the company management.

This study focuses on the civil aspect of liability rather than on the criminal aspect thereof.

-Therefore, this study aims to shed light on the plaintiff identity of civil lia bility case of board members of a shareholding company and its abatement causes using a comparative analytical approach.

We have explained and analyzed the provi sions of both Kuwaiti and Egyptian laws and linked them to judicial applications and jurisprudence judgments in the context of legal debate based on legal arguments and evidences.

This study has concluded some findings and recommendations which Kuwaiti legislators are expected to adopt.
