Arabic Abstract

تناولنا في دراستنا هذه "أحكام الاخلال بالتفاوض في العقد الإلكتروني" وبينا أن المفاوضات الإلكترونية التمهيدية تعد مرحلة أساسية سابقة في عملية التعاقد الإلكتروني، من حيث تنظيم سير المفاوضات عن طريق طرح الأفكار والعروض بين أطراف التفاوض، والمناقشة فيما بينهم للوصول إلى اتفاق مشترك حتى يتم إبرام العقد المتفاوض عليه.

ونتيجة لذلك تنشأ في هذه المرحلة مجموعة من الالتزامات يترتب على كل من الأطراف الالتزام بها، وخلاف ذلك قد يرتب مسؤولية مدنية على الطرف المخل.

وتوصلت هذه الدراسة إلى العديد من النتائج أهمها، أن التفاوض الإلكتروني يعمل على تقريب وجهات النظر للأطراف المتفاوضين إلكترونيا للوصول إلى إبرام العقد، وتبين الالتزامات التي تقع على عاتق المتفاوض الإلكتروني، الأمر الذي يقتضي الرجوع إلى القواعد العامة في نظرية الالتزام لبيان طبيعة هذه المسؤولية وتطبيقها.

كما أوصت الدراسة، نظرا لعدم وجود نصوص قانونية خاصة تنظم مرحلة التفاوض الإلكتروني على العقود، بسبب التطور الحاصل على وسائل الاتصال الحديثة، حيث نوصي المشرع على وضع قواعد قانونية تناسب هذه المرحلة، لتنظم نوع المسؤولية التي قد تنشأ عند الاخلال بها وبيان الآثار التي تترتب على الطرف المخل.

English Abstract

“In our study, we dealt with “the provisions of breach of negotiation in the electronic contract,” and we have shown that the preliminary electronic negotiations are an essential previous stage in the process of electronic contracting, in terms of regulating the conduct of negotiations by putting forward ideas and offers between the negotiating parties, and the discussion among them to reach a common agreement Until the negotiated contract is concluded, and as a result, at this stage, a set of obligations arises that each of the parties must abide by, and otherwise a civil liability may be imposed on the breaching party.

This study reached several results, the most important of which is that electronic negotiation works to bring the views of the electronically negotiating parties closer to reach the conclusion of the contract, and it shows the obligations that fall incumbent upon the electronic negotiator, and the legal effects when violating these obligations.

This requires a reference to the traditional rules of commitment theory to clarify the nature and application of this responsibility.

The study also recommended, due to the absence of special legal texts regulating the stage of electronic negotiation of contracts, given the development of modern means of communication, according to legal rules commensurate with their nature, and the development of texts in the general civil law in addition to the law of private electronic transactions, to regulate the type of responsibility that arises When working with the provisions of electronic negotiation and clarifying the effects that result from a breach of it.
