The principle of capital fixity of a company is a basic rule in business; it is founded on the limited liability of inputs, which replaces the unlimited liability of all members.

In order to achieve the protection of third parties by the social capital, the legislature requires a minimum capital at the time of the constitution; several rules have then been introduced in order to fix the guarantee of third parties in the operational process.

Le Principe de fixation du capital social d'une société est une règle de principe en commerce.

Cette règle est fondée sur la responsabilité limitée des apports qui remplace la responsabilité illimitée et associative des associés.

Afin d’assurer la protection des créanciers (les tiers) par le capital social, le législateur exige un capital minimum lors de la constitution et instaure plusieurs règles ayant pour objectif de fixer le gage des créanciers lors du fonctionnement de la société.
