Abstract EN

The legal recognition of the limited liability company under the Jordanian companies Law has suffered from some areas of weakness especially with regard to the establishment of the company, and the assessment of the value of its in-kind contributions.

Moreover, the articles of the Jordanian companies law are unable to adequately accommodate all scenarios that may occur especially those relating to the issue of whether or not the capital of the limited liability company is sufficient to fulfill its obligations towards third parties.

Therefore, this study aims to shed light on the main areas of weakness in this regard and determine what the law ought to be in order to protect the rights of limited liability company’s creditors and at the same time strike a balance between the different interests of the parties involved.

Furthermore, this study briefly evaluates the legal recognition of the one-man limited liability company and addresses the main additional guarantees that should be adopted to enhance the general guarantee for the creditors of such company.
