The company’s buying back its shares (a stock buyback ٠٢ a repurchase of shares) has serious outcomes since it can open the door to manipulate the prices of th،.'$،: shares, and then harm the rights of shareholders and investors who want to buy the shares.

To prevent this, different legislations provide for several procedures to control a company’s buying back its shares.

Because of the importance of this issue, this research is devoted to study this topic in the framework of the UAE law to identify the approach of the UAE legislator in organizing the process of a company’s buying backs its shares and to know the pros and cons ofthis approach.

Hence, we can introduce some recommendations to ensure the transparency and legitimacy ofth،: company’s buying backs its shares.

To evaluate the position of the Emirati legislator, the research depends on the comparative stady to draw comparisons between the UAE law on the one hand and Egyptian, Kuwaiti, and Jordanian law besides the system of Saudi companies, on the other.

The research is divided into two sections; the first is devoted to the situations in which the company buys back its shares, and the second deals with the provisions of the procurement process in terms of the conditions and procedures and the implications of that process.

The research concluded that the process of the company’s buyback of its shares in the UAE system is not the norm that the company can resort to to modify its financial position; rather, it is an exception acceptable in limited cases, and it must be done in accordance with severe and strict controls, and under the control of the power of Securities and Commodities Author؛>y and Market Securities Authority.
