This study was to shed light on the theoretical Framework of governance and the benefits of its application in the companies by highlighting its role in confronting the phenomenon of administrative and financial perversion.

One of the main results obtained that the corporate governance lead to a rationalization of the practices of managers and the Board of Directors, and accountants and auditors role in showing the financial positions of companies, as well as rationalize the practice of investors and their influence on investment decisions within the company, eventually leading to the achievement of the objectives of governance and the reduction of administrative and financial perversion.
