Arabic Abstract

بينت هذه الدراسة أهمية الشركات التي تلعب دورا بارزا و فعالا في التنمية الاقتصادية و التجارية للدولة، وكذلك بينت أهمية الأسهم " أسهم الخزينة " في الشركات و خاصة الشركات المساهمة كما تعتبر عملية شراء الشركات المساهمة لأسهمها "أسهم الخزينة " و التي تعتبر احد وسائل الإدارة المالية و الإدارية الحديثة التي يجب ضبطها من خلال تنظيم قانوني يضمن سلامة عملية شراء الشركة لأسهمها التي سبق وان أصدرته.

و قد وجاءت هذه الدراسة لبيان النصوص القانونية الخاصة بأسهم الخزينة و الشركة المساهمة الخاصة و التعريف بأسهم الخزينة و الشركات المساهمة الخاصة، و قد هدفت هذه الدراسة بيان أهمية أسهم الخزينة من خلال تعريفها، و بيان أنواعها، و كيفية تملك الحكومة للشركة المساهمة الخاصة، و بيان ذلك في ظل القواعد العامة في التشريعات الأردنية، و طرق التعامل بأسهم الخزينة من قبل الشركة و الآثار القانونية لاكتساب أسهم الخزينة.

و جاءت لتوضيح دور الرقابة على إصدار أسهم الشركة المساهمة الخاصة و معايير الإفصاح عن أسهم التمليك و صناديق الادخار في الشركة و التمثيل الحكومي في مجلس إدارة الشركة المساهمة الخاصة وكذلك حق الشخص المعنوي في الاشتراك في مجالس الإدارة.

و قد خلصت الدراسة إلى جملة من النتائج و التوصيات و كان أبرزها، ضرورة إصدار تعليمات خاصة لتنظم عملية قيام الشركة المساهمة الخاصة شراء الأسهم التي سبق و أن أصدرتها تحت " تعليمات شراء الشركة المساهمة الخاصة للأسهم الصادرة عنها"، كما فعل عند إصدار تعليمات أسهم الخزينة المتعلقة بالشركة المساهمة العامة.

و لقد منح المشرع المؤسسين في الشركة المساهمة الخاصة الحرية في أن يتضمن عقد الشركة و نظامها الأساسي بنود يسمح لهم من خلالها بإصدار عدة أنواع و فئات مختلفة من الأسهم دون قيد أو شرط.

English Abstract

This study explores the importance of companies that play a prominent and active role in the economic and commercial development of the state as well as the importance of equity "treasury shares" in companies and private shareholding companies is also considered a purchase of joint stock companies for their shares " treasury shares" which is considered financial and administrative, one of the means of management modern which must tuned through legal regulation ensures the safety of the company's purchase of its shares which had previously issued This study aims at clarifying the legal texts related to treasury shares , the private shareholding company , the definition of treasury shares and private shareholding companies , This study aimed at clarifying the importance of treasury shares by defining them , indicating their types and how the government owns the private joint stock company.

The statement of this under the general rules in the Jordanian legislation and ways to deal with treasury shares by the company and legal effects for the acquisition of treasury shares, and came to clarify the role of control over the issuance of shares of the private shareholding company and the criteria for disclosure of ownership shares and savings funds in the company and government representation in the board of directors of the private shareholding company as well as the right of the legal person to participate in the boards of directors.

The study concluded with a number of conclusions and recommendations the most important of which was the need to issue special instruction to regulate the process of the private shareholding company buying the shares that it had previously issued under "instruction for the purchase of the private shareholding company issued by it".

As it did at the time of issuing treasury shares instructions related to the public shareholding company.

The legislator granted the founders of the private company the freedom to include the company's contract and its articles of association allowing them to issue various types and categories of shares unconditionally.
