Abstract EN

This study addressed asubject with special importance in the field of shareholding companies; name "abuse of the majority shareholders as a cause of merger invalidation",following the comparative analytical descriptive approach in this study which was divided into two requirements; we tackled in the first, the essence of abuse, in which we looked at the definition of abuse, and its terms; those terms that are placed and identified by the French judiciary to get ahead in this field; while the study assigned the second requirement thereof to look at how abuse would likely occur in merger issues, in which the exploration focused on the French judiciary position in this area, and thus the study arrived at a number of findings followed by a number of recommendations.
