Arabic Abstract

تداولت هذه الدراسة موضوعا شكل خلافا فقهيا وجدلا قانونيا لم يحسم النزاع فيه بعد ، وهو إصدار الأسهم الممتازة في شركات المساهمة وفق القانون الأردني وخاصة شركات المساهمة العامة حيث لم ينظم المشرع الأردني نصا قانونيا في الأسهم الممتازة في باب الشركات المساهمة العامة في قانون الشركات الأردني على نحو يجيز لمثل هذا النوع من شركات إصدار الأسهم الممتازة أو لا يجيز لها تلك ، في حين أن المشرع الأردني قد نظم إصدار الأسهم الممتازة في باب الشركات المساهمة الخاصة في قانون الشركات الأردني حيث أجاز في المادة (٦۸) إصدار أنواع من الأسهم تختلف فيما بينها من حيث القوة التصويتية ومن حيث الأفضلية في توزيع الأرباح على المساهمين و حقوق و أولويات كل منها عدد التصفية .

الحال الذي ينور معه التساؤل حول مدى جواز إصدار الأسهم الممتازة في الشركات المساهمة العامة وفقا للقانون الأردني.

وقد أثار هذا التساؤل في الأوساط الفقهية خلافا واسعا، حيث قد تعددت الاتجاهات في هذا الخصوص.

وقد ناقشت هذه الرسالة هذه الآراء الفقهية بالإضافة إلى الأحكام القانونية وشراح القانون من خلال التعريف بالأسهم الممتازة وأنواعها وتمييزها عن غيرها من الأوراق المالية المشابه لها هذا بالإضافة إلى بيان أهم امتيازات الأسهم الممتازة وتقييمها من وجهة نظر كل الشركة ومالك السهم الممتاز ومالك السهم العادي.

موضحا في هذه الرسالة خطورة إصدار مثل هذه الأسهم على حقوق المساهمين العاديين و ذلك لإخلالها بمبدأ يعد من أهم المبادئ التي تنظم علاقة المساهمين فيما بينهم ألا وهو مبدأ المساواة في الحقوق بين المساهمين وهذا كله في إطار دراسة مقارنة مع التشريعات المقارنة خاصة قانون الشركات المصري؛ حيث اختلفت التشريعات المقارنة في موقفها من إصدار الأسهم الممتازة بين تشريعات أجازت إصدارها بكافة امتيازاتها وبين تشريعات أجازت إصدار أسهم الأفضلية دون أسهم الصوت المتعدد ، تشريعات حرمت إصدارها كلية و تشريعات التزمت الصمت بشأنها وخلصت الباحثة إلى أن أمر إصدار الأسهم الممتازة في شركات المساهمة العامة الأردنية لم يحسم بعد من جانب المشرع فعدم النص عليها صراحة لا يعني أن هذا النوع من الشركات لا يجوز له إصدار هذا النوع من الأسهم خصوصا مع وجود نماذج من شركات المساهمة العامة الأردنية قد أصدرت أسهما ممتازة ، كما و أن عدم النص صراحة عليها لا يعني بجواز إصدارها خصوصا أن هناك نصوص قانونية في باب شركات المساهمة العامة تقضي بالمساواة في الحقوق بين المساهمين هذا بالإضافة أن نصوص القانونية الخاصة بالشركات المساهمة العامة نصوص أمرة لا يجوز الاتفاق على مخالفته.

English Abstract

This study dealt with a subject in the form of a doctrinal dispute and a legal controversy.

The issue of preferred shares in joint stock companies according to the Jordanian and in particular the public shareholding companies was not yet regulated by the Jordanian legislator.

Authorizes or does not permit such a type of issuer, Whereas, the Jordanian legislator regulated the issue of preferred shares in the private companies' shareholding in the Jordanian Companies Law.

Article (68) allows the issuance of types of shares that differ in terms of voting power and preference in the distribution of profits to shareholders and the rights and priorities of each.

When filtering.

Which raised the question of the extent to which the issuance of preferred shares in public shareholding companies in accordance with Jordanian law.

This question has raised in the jurisprudential circles a wide controversy, as there have been many trends in this regard.

This letter discussed these jurisprudential opinions in addition to the legal provisions and the drafts of the law by defining the preferred shares and their types and distinguishing them from other similar securities, in addition to the statement of the most important privileges of the preferred shares and their valuation from the point of view of the company.

He explained in this letter the seriousness of issuing such shares to ordinary shareholders rights in violation of the principle that is one of the most important principles governing the relationship of shareholders among them is the principle of equal rights among the shareholders and all this in the framework of comparative study with comparative commercial legislation, especially the Egyptian Companies Law, Comparative legislation in its position on the issue of preferred shares between legislation that authorized the issuance of all its privileges and the legislation of licenses issued permission to issue preference shares without the shares of multi-voice legislation and prohibited the issuance altogether and legislation remained silent on them.

The researcher concluded that the issuance of preferred shares in the Jordanian public shareholding companies has not yet been decided by the legislator.

The lack of explicit provision does not mean that this type of company may not issue this type of stock, especially with the presence of models of Jordanian public shareholding companies issued shares and that the lack of explicit provision does not mean that it is permissible to issue them, especially that there are legal provisions in the section of public shareholding companies that provide for equal rights among shareholders.

In addition, the provisions of the law on public shareholding companies are peremptory texts which may not be agreed upon.
