Abstract EN

Since corporate governance is a system by which companies are governed and controlled, the joint-stock companies that embrace it must create a concrete change in their organization demonstrated by the reconfiguration of their boards of directors according to the principle of efficiency, based on the foundations and criteria laid down by the majority of corporate governance codes, in particular the French code and the Belgian code.

The effect of these codes appears through the skills and expertise of the Board of Directors, in addition to engage independent members.

One can also see the effect of the rules of governance by creating specialized committees under the board of directors in order to support the role of the latter in the administration and control of the company for its own interest.
