Arabic Abstract

تتوقف الشركة التي تقرر تصفيتها عن جميع الأعمال، و النشاطات التي كانت تمارسها.

فتنتهي الرابطة القانونية التي كانت تجمع الشركاء فيما بينهم، و تدخل الشركة مرحلة التصفية.

فيقوم المصفي بتمثيل الشركة و تسوية الآثار القانونية الناتجة عن حل الشركة.

إلا أن قانون الشركات الأردني لم يحدد مركز المصفي بقواعد قانونية كافية تنظم عمله، و طريقة تعيينه و عزله، و توضح السلطات التي يتمتع بها و الواجبات الملقاة على عاتقه.

فلم يضع شروطا معينة لإختيار المصفي كشرط الجنسية و المؤهلات العلمية، و كذلك طريقة عزل المصفي لم ينص القانون على ألية عزله.

أما سلطات المصفي لم يحدد القانون تلك السلطات بشكل دقيق ولم يمنح المصفي الحق بقبول الصلح، أو إحالة النزاع إلى هيئة التحكيم.

و لم يتطرق إلى الأعمال الجديدة التي يمنع المصفي من مزاولتها.

و لم يبين إمكانية المصفي إنابة غيره في التصفية، و قد نص قانون الشركات على أجر المصفي كمقابل عن الأعمال التي يقوم بها دون أن يراعي أي ضوابط في تحديد الأجر.

و إن مسؤولية المصفي المدنية لا تكاد تخرج عن القواعد العامة للمسؤولية فلم يبين القانون الطبيعة القانونية لهذه المسؤولية تجاه أشخاص التصفية.

و إن تحديد المركز القانوني للمصفي و تكييف علاقته بأشخاص التصفية هي الأساس في تحديد الطبيعة القانونية.

و إن نطاق مسؤولية المصفي سواء كانت العقدية أو التقصيرية لا نستطيع حصرها فالمسؤولية العقدية يحكمها العقد و التقصيرية قوامها الفعل الضار.

English Abstract

The organization that chooses to sell every one of the exercises and exercises that were practiced before the finish of the lawful affiliation, which was the gathering of accomplices among them and the intercession of the organization liquidation arrange, the outlet will speak to the organization and settle the lawful impacts coming about because of the arrangement of the organization, however the law of Jordanian organizations did not determine the status of the vendor with adequate legitimate standards to manage his work And the way of arrangement and seclusion and elucidate the forces delighted in by the obligations endowed to him didn't set certain conditions for the choice of the vendor as a state of nationality and logical capabilities and also the strategy for confinement of the vendor did not give the law of the instrument of disconnection, either the experts of the vendor did not indicate the law Tal And did not give the vendor the privilege to acknowledge the mollification or allude the question to the arbitral court and did not address the new works that keep the outlet from honing it and did not demonstrate the likelihood of the outlet delegating others in the liquidation.

The Companies Law stipulates that the outlet might pay as a byproduct of the work he performs without considering the law does not indicate the legitimate idea of this obligation towards the vendors.

The assurance of the legitimate status of the outlet and the alteration of his association with the vendors are the reason for deciding the lawful nature and the extent of obligation.

Yeh Liquidator whether the legally binding or tortious cannot limit the authoritative duty is administered by the agreement and tort-solid act hurtful.
