Arabic Abstract

تناولت هذه الدارسة عقود الطاقة المتجددة، و التي تعتبر أهم العقود المستحدثة لإقامة مشاريع الطاقة بواسطة القطاع الخاص، و الذي قامت المملكة بتطبيقه، لما له من أهمية في تمويل المشاريع، و تشغيل الأيدي العاملة الوطنية و تدريبهم و تأهيلهم، و نقل التكنولوجيا إلى الدولة، بالإضافة إلى مساهمته في التنمية الاقتصادية، حيث تبرم الدولة عقدا مع أحد شركات القطاع الخاص، لإنتاج الطاقة الكهربائية عن طريق استغلال الموارد الطبيعية.

و قد استخدمت هذه الرسالة المنهج التحليلي و الوصفي، حيث قامت بوصف هذا العقد من حيث مزاياه و عيوبه و خصائصه، و بيان طبيعته القانونية، و تحليل النصوص القانونية لبيان أساسه القانوني في المملكة، كما اشارت هذه الدارسة إلى النقص التشريعي في تنظيم عقود الطاقة المتجددة و بينت انه بمجرد توقيع عقد الطاقة، بين الدولة وشركة المشروع، فان هنالك حقوق والتزامات تقع على عاتق أطرافة.

و مما خلصت اليه هذه الدراسة ان ما يتضمنه عقد الطاقة من مخاطر يكون الحد منها بإيجاد التشريعات المناسبة الخاصة بهذه العقود و انتهت هذه الدارسة الى ان تطبيق عقد الطاقة المتجددة له إيجابيات وسلبيات، و اوصت هذه الرسالة الى ضرورة إيجاد حل لتلك العيوب، و ازالة العقبات التي تواجه تنفيذ هذا العقد، و الى ضرورة وضع صيغ نموذجية للعقود تحتوي على اهم الضمانات التي تراها الدولة ضرورية للحفاظ على حقوقها امام المستثمر.

و العمل على ايجاد تشريع موحد و خاص بعقود الطاقة المتجددة ينظم تلك العقود توضح فيه الحقوق و الالتزامات والشروط العامة لعقود الطاقة المتجددة.

English Abstract

This study dealt with renewable energy contracts ,which is considered the most important contract for the establishment of energy projects by the private sector ,which was implemented by the Kingdom ,Because of its importance in financing projects ,Employment, training and the work of national labor ,transfer technology to the state ,in addition to its contribution to economic development, where the State enters into a contract with a private sector company to produce electricity through the exploitation of natural resources.

This thesis used the analytical and descriptive approach, where it described this contract in terms of its advantages and disadvantages and characteristics, its legal nature, analysis of the legal texts of the statement of its legal basis in the Kingdom, the study also pointed to the legislative lack of regulation of renewable energy contracts and indicated that once the energy contract is signed, between the state and the project company, there are rights and obligations of two parties.

The conclusion of this study is that what is risks contained in the energy contracts to limit the risks by appropriate legislation for these contracts.

This study concluded that the applying renewable energy contract has advantages and disadvantages, The letter recommended the need to find a solution to those shortcomings, And to remove obstacles to the implementation of this Decade, And the need to develop model formulas for contracts containing the most important guarantees that the state considers necessary to preserve their rights to the investor, work on establishing unified legislation on renewable energy contracts to be regulated, showing the rights, obligations and general terms of renewable energy contracts.
