The following paper intends to explore the various governing forms and characteristics of a third-family business company.

The example taken is mat of SPA-NCA ROIBA.

The study aims to show how such a system of governance can may evolve towards a great mastery and professionalism.

In facts the inter-fusion between management and the governing system which generate family companies and economic trading enterprises tend to dissipate throughout generations.

Thus, family ties and relations which change throughout time, economic imperatives, capital opening are all important elements that should be taken into consideration for establishing efficient and effective governing mechanisms.
