The negotiation is regulated by two fundamental principles, the principle of contractual freedom which gives to each of negotiators the freedom of abandon negotiations that don‟t correspond to their legitimate interests, on one side, and the principle of good faith which requires to take into account legitimate interests of the other part, and security of negotiations, on the other side.

from this study, we try to discuss the issue of the extent to which principle of good faith will be realized, legal protection of negotiated parties, through clarify the concept of good faith and its role in phase of negotiation (section i), and the requirements of good faith in this phase (section II).
