English Abstract

This study aims to explain the reasons that lead to the expiry of the limited liability company in the Jordanian law and comparing it with the Syrian law.

To achieve these reasons, the company enters into a liquidation stage and all the company's activities stop.

The liquidator performs the company's work for liquidation.

This study also clarified the general provisions on liquidation, And the duties of the liquidator during the liquidation process, in addition to the powers enjoyed by the liquidator as defined by the Jordanian Companies Law No.

(22) for the year 1997 and its amendments.

And to explain the deficiencies in this law in how the liquidation process is organized and the role of the liquidator.

The results of this study also require the Jordanian legislator to approve the general assembly of the company to any agreement between the liquidator and the creditors, including the acceptance of conciliation and arbitration.

The researcher believes that the liquidator should be given the authority to approve the acceptance of arbitration and reconciliation if it is in the company's interest.
