تعتبر الجمعية العامة صاحبة السلطة العليا في الشركة، تجتمع بهدف الرقابة و المصادقة على أعمال مجلس الإدارة.
يسأل الأعضاء عن كل مخالفة للقانون أو القانون الأساسي أو خطأ في التسيير، متى لحق ضرر بالشركة أو بالمساهمين أو بالغير.
فلا يحول دون إقامة دعوى المسؤولية على أعضاء مجلس الإدارة، صدور قرار الجمعية العامة بإبراء ذمتهم، بعد أن يقدموا لها حسابا عن جميع الأعمال التي قاموا بها أثناء تسييرهم للشركة، تتحدد مسؤولية القائمين بالإدارة على ضوء القواعد العامة للوكالة، فإذا بذل القائمون في تنفيذ التزاماتهم عناية الرجل المعتاد و التزموا حدود سلطاتهم كما حددها القانون و القانون الأساسي فلا مسؤولية عليهم.
Abstract EN
The General Assembly is the supreme authority of the company, which meets in order to monitor and approve the work of the Board of Directors.
Members are liable for any violation of the Act, articles of association, or mismanagement, where the corporation, shareholders or others have suffered harm.
It does not preclude the implementation of the liability against the members of the Board of Directors, the decision of the General Assembly to discharge them, after having provided a report of all the work carried out within the framework of their management.
The liability of directors is determined in light of the general rules of the mandate.
When directors assume, their obligations and comply with the limits of their powers, as defined by the Act and by-laws, they may escape liability.

L'Assemblée générale est l'autorité suprême de la société, qui se réunit dans le but de surveiller et d'approuver les travaux du Conseil d'administration.
Les membres sont responsables pour toute violation de la Loi, les statuts, ou une erreur de gestion, lorsque la société, les actionnaires ou d'autres ont subi un préjudice.
Il n'exclut pas la mise en oeuvre de la responsabilité contre les membres du Conseil d'administration, la décision de l'Assemblée générale de les décharger, après avoir fourni un rapport de tous les travaux exécutés dans le cadre de leur gestion.
La responsabilité des administrateurs est déterminée à la lumière des règles générales du mandat.
Lorsque les administrateurs assument, leurs obligations et se conforment aux limites de leurs pouvoirs, tels que définis par la Loi et les statuts, ils peuvent échapper à une action en responsabilité.
