يعتبر مفهوم حوكمة المؤسسات من أحدث و أهم المفاهيم التي بدأت تلمس أحد أهم أشكال المنشآت في العصر الراهن و نقصد بها الشركات المساهمة.
و لأهمية هذا الموضوع نلاحظ أن هناك سباقا عالميا لترسيخ نظريات و قوانين للحوكمة لتكون موافقة لخصائص العولمة في جانب و متلائمة مع خصائص البلد المنظم في جانب آخر، بل أن مفهوم الحوكمة كنظام و كممارسات أضحى حجر الأساس لتوسيع الخصخصة و جذب الاستثمارات و هذا ما دعا الدول المختلفة شرقا و غربا لإصدار التقارير العميقة حول كافة أشكال الممارسات المتعلقة بالحوكمة، كما أدلى البنك الدولي و منظمات دولية أخرى بدلوهم بتشجيع عقد المؤتمرات و حلقات النقاش حول أنظمة و ممارسات الحوكمة على المستوى العالمي.
Abstract EN
Considered one of the most recent and important concepts, the concept of governance is currently concerned with the most important reforms of equity companies.
Hence, the importance of this study is that there is currently competition, Globally in order to inculcate theories and norms of governance so that they are consistent not only with the characteristics of the latter, but also in harmony with the country’s particularities.
Better yet, the concept of governance as a system has become the cornerstone for the expansion of privatization and investment attraction.
This has led the States of the different zones to publish profound reports on all forms of corporate governance practice and this, like the World Bank and other international organizations that have encouraged the organization of symposiums and even debates on the application of governance at the international level.

Considéré comme un des concepts des plus récents et importants, le concept de la gouvernance concerne, à l’heure actuelle, les réformes les plus importantes des sociétés de participation.
D’où, l’importance de cette étude porte sur le fait qu’il existe actuellement une concurrence, à l’échelle mondiale afin d’inculquer les théories et les normes de la gouvernance pour qu’elles soient en concordance non seulement avec les caractéristiques de cette dernière, mais également en harmonie avec les particularités du pays.
Mieux encore, le concept de la gouvernance en tant que système est devenu la pierre angulaire pour l’expansion de la privatisation et de l’attirance des investissements.
Ceci a entrainé les Etats des différentes zones à publié des rapports profonds sur toutes les formes de pratiques liées à la gouvernance d'entreprise et ce, à l’instar de la banque mondiale et des autres organisations internationales qui ont encouragé l’organisation des colloques, voire des débats quant à l’application de la gouvernance à l’échelle internationale.
