However, this process can shake the investors’ confidence as a result of its risk for some shareholders.

The shareholders of joint stock companies are divided into a minority and a majority in addition to negative shareholders.

This results in the minority shareholders submitting to majority decisions.

Accordingly, the acquisition constitutes a real threat to the minority shareholders of the company subject to acquisition.

Therefore, this category of shareholders must be protected.

The majority shareholders are granted the possibility of arbitrariness in making their decisions, which may cause harm to the minority shareholders.

The protection granted to minority shareholders can be legal, conventional and judicial.
