The goodwill is one of the most important asset of the trader, it’s a part of his business activity.
As a movable property intended to carry on a commercial activity, it includes two elements: moral and material.
It differs from the other capitals which are assigned for the same purpose like a civil use.
According to the full range of elements that go into its composition, it has certain specificity then it’s framed by specific rules that cannot however be transposed to others elements that form the capital of trader.

Le fonds de commerce constitue le principal capital du commerçant dans l’exercice de son activité commerciale.
En tant que bien meuble incorporel destiné à la pratique d’une activité commerciale, il comporte deux éléments : moral et matériel.
Il diffère du reste des autres capitaux affectés au même but ou affectés à d’autres usages notamment civils.
Au regard des éléments qui rentrent dans sa composition, il présente une certaine spécificité et se distingue ainsi par des règles spécifiques qui ne peuvent toutefois être transposées à d’autres fonds qui forment le capital du commerçant.
