Arabic Abstract
هدفت هذه الدراسة الى بيان المسؤولية المدنية المترتبة عن العقود المبرمة من المستثمر الاجنبي إذ أن المشرعين الأردني و العراقي لم يعالجا جميع المسائل القانونية المتصلة بالنشاط الاستثماري، و خاصة فيما يتعلق بالمسؤولية المدنية الناشئة عن الإخلال في عقود الاستثمار الأجنبية.
و قد توصلت الدراسة إلى أنه إذا ما توفرت أركان المسؤولية المدنية للمستثمر الأجنبي فإنه يترتب عليها قيام المسؤولية تجاه الطرف الآخر، و يترتب على قيامها مجموعة من الآثار القانونية سواء كان آثار إجرائية كبيان القانون الواجب التطبيق و الجهة المختصة بفض النزاع، و من ثم بيان الآثار الموضوعية و التي تتمثل بالتعويض عن الأضرار الناجمة عن عدم التزام المستثمر الأجنبي بشروط الاستثمار.
و أخيرا توصي الدراسة كل من المشرعين الى اضافة احكام خاصة في قوانين الاستثمار تهدف إلى معالجة مسألة مسؤولية المستثمر، و كذلك تشجيع عامل الثقافة الاستثمارية و التنمية الثقافية في الأردن و العراق و تدريب العنصر البشري و تأهيله للمستوى المطلوب وفق معايير نظام الجودة البشرية الشاملة.
English Abstract
This study aimed to clarify the civil responsibility resulted from the contracts concluded by foreign investor، as the Jordanian and Iraqi legislators did not address all legal issues related to investment activity، especially with regard to civil liability arising from the breach of foreign investment contracts.
The study found that if the elements of civil liability are available to the foreign investor، then it has responsibility for the other party، and it has a set of legal effects، whether it is procedural effects such as the statement of the applicable law and the authority competent to settle the dispute، and then the objective implications of compensation for damages resulting from the non-compliance of the foreign investor with the investment terms.
Finally، the study recommends each of the legislators to add some special provisions in the investment laws aimed at addressing the issue of investor responsibility، as well as encouraging the factor of investment culture and cultural development in Jordan and Iraq and training the human element and qualifying it to the required level according to the standards of the comprehensive human quality system
