Arabic Abstract

هدفت هذه الدراسة تحديد القانون الواجب التطبيق على عقد الاعتماد المستندي في العلاقات المتداخلة بين أطراف الاعتماد المستندي، و بسبب تعدد العلاقات المتداخلة بين أطراف الاعتماد المستندي و انتماء كل طرف إلى قانون دولة مختلفة مما ينشأ نزاعات بين أطراف الاعتماد المستندي، و على أساس أن هذه العلاقات تتمثل بوجود عنصر أجنبي، و حيث أن دور الاعتماد المستندي في تسوية العمليات التجارية بين الأطراف بما تقوم به من وظائف مميزه لمنح الثقة و الطمأنينة بين أطراف العقد الأصلي من ضمان و وفاء في تنفيذ الالتزامات و حيث انصبت مشكلة الدراسة في تحديد القانون الواجب التطبيق على الاعتماد المستندي و التي يثيرها الأطراف عند استبعاد الأصول و الأعراف الموحدة كليا أو جزئيا.

و قد توصلت الدراسة إلى أن عقد الاعتماد المستندي من العقود الدوليه المشوبة بعنصر أجنبي، فإن هذا العقد لابد من أن يخضع لضوابط قانون الإرادة بصورة أصلية و على ذلك لابد من تحديد إرادة الأطراف بصورة صريحة أو ضمنية و في حالة عدم تحديد إرادة الأطراف في العقد فإن للقاضي المعروض أمامه النزاع أن يلجأ إلى الضوابط الاحتياطية البديلة في القانون الدولي الخاص كقانون الموطن المشترك أو قانون محل إبرام العقد أو تنفيذ العقد، و أخيرا أوصت الدراسة بضرورة قيام المشرع الأردني و العراقي بالإحاطة التشريعية الكافية لعقد الاعتماد المستندي و أطرافه على النحو الذي يكفل تنظيم العلاقات القانونية الناشئة عنه بصورة متزنة و كافية أسوة بالتشريعات المتقدمة التي نصت على ذلك.

English Abstract

This study aimed to determine the law enforceable on the documentary credit contract in the overlapping relations between the documentary credit parties, and due to multiple overlapping relations between the documentary credit parties and belonging of each party to different jurisdictions the fact which would create disputes between the documentary credit parties, and, based on that such relations are presented in the presence of a foreign element, and whereas, the documentary credit is destined to settle the commercial transactions between parties by its distinguished functions to granting trust and assurance between the contract parties of security and fulfillment in implementing the obligations; and whereas the problem of study focused on identifying the law enforceable on the documentary credit raised by the parties thereto when excluding the standard procedures and norms, either partially or totally.

However, the study concluded that the documentary credit contract is among the international contracts blended with a foreign element, so such element must submit primarily to controls of will law, and based on that, the will of parties must be expressly or implicitly identified, and, in case of not identifying the will of parties in the contract then the ruling justice may resort to alternative precautionary controls in the respective international law such as the law of common home, or the conclusion of contract place law, or the contract implementation; and finally the study recommended the necessity to establish the Jordanian and Iraqi project by enough statutory knowledge on the documentary credit contract and its parties in a manner ensuring the organization of legal relations arising therefrom in a balanced and adequate way like the advanced laws that provided for that.
