Abstract EN

This paper aims to give a clear picture concerning the process related to the disposal of security shares in joint stock companies, seeking to establish an effective framework to be updated with the of current developments affecting economic and trade in general, and legislations governing joint stock companies changes in particular.

As a result of my study, I concluded that the Algerian legislature banned the disposal of security shares as a general principle, and implied the, legal liability in, both civil and penal system against the offending member, whether belonging to the board of directors, or oversight board.

The ban lasts during all the term of the member.

The banning on the disposal of security shares is also a legal restriction on the principle of free circulation of shares in joint stock companies, and at the same time is a condition for the validity of membership on the board of directors or the oversight board.
