The UAE legislation is keen on regulating the legal rules related to securities in general, starting from listing them in the financial market to trading them in a way that achieves the goals of the financial markets operating in the country, represented by ensuring the safety in dealing in securities.

Thus fulfilling the interests of the investors who believe that the existence of financial markets operate according to strict legal rules enable them to easily invest and feel secure in their investment transactions, and the ability to convert their securities into cash.

Therefore the study aims to highlight the legal aspects of listing the shares of the private joint stock company in the financial market, as an analytical study according to the UAE corporate law and the decisions issued by the Securities and Commodities Authority in terms of demonstrating the content and nature of the listing, the cases of cancellation and suspension of the listing mentioned in the decision of the Securities and Commodities Authority, and the extent of adherence of the entities, whether listed or requesting to be listed, with the requirements and the conditions of listing.

The study reached several results and concluded with a set of recommendations represented in the necessity of introducing the investors and informing them of the opportunities offered by the second market, as it represents a great and good opportunity for the small and medium sized companies of private joint stock companies.

Since the need for external capital helps in the growth of the company in addition to the above, the study recommended that the listing of the shares of the private joint stock company in the financial market to become compulsory, because the optional listing will lead to rejection of the idea of listing for fear of losing the majority owner of the shares in the company.

Finally, the study recommended that the conditions for listing the shares of the private joint stock company to be revised in a manner that guarantees safety and reassurance to the investors selling and buying the shares of the company.
