-This research aimed to investigate the major determinant factors that would facilitate the successful implementation of the strategy of becoming a Learning Organization (LO) as the 3rd millennium organization.

Toward this aim, a research model was developed and tested within the context of Algerian oil company Sonatrach.

The proposed model assumes that organizational factors (strategy, culture, structure, empowerment, and teamwork), knowledge management factors (socialization, externalization, combination, and internalization) and information and communication technology factors (IT and CT) are key success factors that would enhance the realization of an effective LO.

Using a non-probability purposive judgment sampling on a sample of 500 managers, primary data were collected from 416 respondents with a response rate of 83.2%, supported by qualitative methods of data collection (interviews and observation).

With an R2 of 54.7%, Linear Multiple Regression analysis revealed that all research variables have significant positive effect on LO.

This research represents significant original contribution to LO literature, providing evidence that Sonatrach, as a successful Algerian company located in a developing Arab country has successfully adopted LO strategy.

In addition, the proposed model combined with the findings of the study provide a clear evidence concerning the importance of the investigated factors as determinant factors for successful LO initiation and implementation.

Based on the research results, a number of practical and academic recommendations were proposed.
