Do emerging markets provide different institutional characteristics that may undermine the performance of board of directors? Do board of directors perform their job effectively by ensuring proper disclosure by firms? In this paper, we answer these questions by documenting the impact of board characteristics on earnings management in Morocco.

Using a sample of firms listed at the Casablanca Stock Exchange, we show that the presence of institutions in the board is important for lowering earnings management.

Our results show a significantly negative relationship between earnings management and percentage of institutions in the board.

Our results also show that boards that have larger number of directors exhibit lower earnings management, while ownership by directors is associated with higher earnings management.

However these results are not robust after addition of control variables.

We also show that percentage of female in the board and percentage of foreigners in the board are not related to earnings management.
