Arabic Abstract

تتميز المفاوضات بالأهمية البالغة لما لها دور كبير في الوصول لمرحلة إبرام العقد النهائي، من خلال المناقشات و المشاورات التي تتم في هذه المرحلة، حيث تنشأ خلال مرحلة المفاوضات العديد من الإلتزامات و تحكمها مبادئ معينة كمبدأ حسن النية، و أن أي إخلال بأي التزام من هذه الإلتزامات الناشئة يرتب مسؤولية مدنية و يترتب على قطع المفاوضات كإخلال بالتزام من الإلتزامات الناشئة في مرحلة المفاوضات مسؤولية مدنية، و تختلف هذه المسؤولية بإختلاف طبيعة المفاوضات فتنشأ المسؤولية التقصيرية على قطع المفاوضات بالاخلال بالتزام الاستمرار بالتفاوض، و لم يكن لقطع المفاوضات أي مبرر أو سبب جدي، و إذا كان قد تخلل عملية التفاوض إتفاقات مبدئية أو عقود تمهيدية فإنه يترتب على قطع المفاوضات المسؤولية العقدية.

و قد يترتب على قطع المفاوضات أضرار يلحقها أحد الأطراف بالطرف الآخر، و في هذه الحالة فإنه يترتب جزاء قانوني على الطرف الذي تسبب بهذا الضرر، و يلزم هذا الطرف بالتنفيذ العيني أو بالتنفيذ بمقابل ( التعويض ) جبرا للضرر الذي ألحقه بالمتضرر.

و قد خرجت هذه الدراسة بعدد من النتائج و التوصيات التي ذكرتها في الخاتمة و أهمها أن يعالج المشرع الأردني القصور الحاصل في التشريع الذي ينظم المفاوضات من خلال تشريع معين، و من قوانين من شأنها تنظيم هذه المرحلة.

English Abstract

Role in reaching the phase of concluding the final contract, through discussions and consultations that take place at this phase, where many obligations arise during the negotiation phase, it is governed by certain principles such as the principle of goodwill, and that any breach of any of these emerging obligations entails a civil liability, Civil liability shall be deemed a violation of one of the obligations arising in the negotiations phase, and this responsibility varies according to the nature of the negotiations, then the default liability to discontinue negotiations arises as it breaches the obligation to continue negotiations and the interruption of the negotiations had no justification or serious reason, and if the negotiation process has included preliminary agreements or preliminary contracts, then the contracting negotiations will entail contract responsibility.

Discontinuation of negotiations results in damages caused by one of the parties to the other party, and in this case, a legal penalty is imposed on the party that caused this damage, and this party is obliged to perform in kind or execute in return for (compensation) in order to make reparation to the affected party.

This study came out with a number of results and recommendations that I mentioned in the conclusion, the most important of which is that the Jordanian legislator addresses the shortcomings in the legislation that organizes negotiations through specific legislation, and enacting laws that regulate this phase.
