من الموضوعات التي حظيت باهتمام المشرعين والفقهاء على حد سواء هو نظام الشركات التجارية وذلك نظرا لأهميتها الكبرى في تحقيق المشروعات الصغيرة والمتوسطة والعملاقة، حيث بات من الصعب على الفرد خلق نشاط اقتصادي هام بوسائله الخاصة ورأس ماله المحدود، ومن أجل هذا قام المشرع الجزائري على غرار بقية المشرعين بخلق ترابط بين مجموعة من الأشخاص والأموال وتنظيمهم في إطار قانوني بهدف إنشاء كيانات اقتصادية تتمتع بخصوصية تميزها عن الأفراد العاديين من ناحية أهدافها ومصالحها واعترف لها بالشخصية المعنوية والتي تجعلها تحيى حياة مستقلة عن الأشخاص المكونين لها، إلا أن هذه الاستقلالية لا تمنع الأفراد من تولي إدارة هذه الكيانات وتسييرها وبسبب اتساع دائرة نشاط هذه الشركات والأموال الضخمة التي أصبحت تتداولها والذي أدى إلى زيادة المنافسة فيما بينها وتشابك المصالح المالية تم فتح الباب أمام مسيريها لمخالفة القوانين المنظمة لها وارتكاب جرائم مستغلين تلك الصلاحيات التي منحت لهم داخل الشركة من طرف القانون والعقد التأسيسي لها سواء من أجل تحقق مصالح الشركة أو مصالحهم الخاصة وبالنظر لمساهمة هذه الشركات في استقرار النشاط الاقتصادي للدول فإن أي مساس بها سيؤدي بالضرورة إلى زعزعة الاقتصاد ككل لذلك أدرجت هذه الجرائم في نطاق ما يسمى بالجرائم الاقتصادية والتي أصبح من الواجب إدراجها ضمن المنظومة التشريعية للدولة لما لها من خطورة على الشركة بصفة خاصة والدولة بصفة عامة
Abstract EN
One of the topics that has attracted the attention of legislators and lawyers is the system of commercial companies because of their great importance in the achievement of small, medium and large enterprises, when it is difficult for the individual to create a significant economic activity with its own means and limited capital, for this reason, the Algerian legislator, along with the rest of the legislators, created and organized a group of people and funds in a legal framework with the aim of creating economic entities with particular characteristics that distinguish them from goals and interests, and recognized his moral personality and to make them live a life independent of the people who compensate them.
however, this independence does not prevent individuals from managing these entities, and because of the scale of activity of these companies and the huge funds that circulate, which has led to increased competition between them and intertwining financial interests, the door was opened to its managers to violate the laws which govern it, and the commission of crimes exploiting the powers which are conferred on them within the company by the law and the constitutive contract, whether for the interests of the company or their own interests, and in view of their contribution to the stability of the economic activity of the states, while any harm to them would necessarily destabilize the economy as a whole, these crimes were therefore included in the so-called economic crimes, which must be included in the state's legislative system because of the danger to the enterprise in particular and to the state in general.
