This article aims to analyse one of the forms of industrial partnership, in this particular case the Joint-venture.
The handled problem arise in terms of technological gap between, on one side, the foreign partner, who brings essentially the knowledge; and of other one, Algerian partner who, by his contribution of another type of resources, seeks among others to benefit from a technological transfer.
The question is to analyze the respective gains of the partners and in particular, to know if these agreements were actually source of technological transfer, profitable to the Algerian partner.
The article shows that these agreements were concluded in a juridical institutional incentive context in the investment.
The conclusion of these agreements ended in positive results for both partners in terms of commercial opportunities.
Besides, this research shows that in spite of some results achieved in terms of learning, the Algerian partner remains dependent on the know-how of the foreign partner; not allowing to envisage an industrial development autonomous

Cet article porte sur l'analyse d'une des formes de partenariatindustriel, en l'occurrence la Joint Venture.
Le problème traité se pose entermes d'écart technologique entre, d'un côté, le partenaire étranger, quiapporte essentiellement la connaissance; et de l'autre, le partenaire algérienqui, par son apport d'un autre type de ressources, cherche entre autre àbénéficier d'un transfert technologique.
La question est alors d'analyser lesgains respectifs des partenaires et en particulier, de savoir si ces accords ontété effectivement source de transfert technologique, profitable au partenairealgérien.
L'article montre que ces accords ont été conclus dans un contextejuridico institutionnel incitatif à l'investissement.
La conclusion de cesaccords s'est soldée par des résultats positifs pour les deux partenaires entermes d'opportunités commerciales.
En outre, la recherche montre qu'endépit de quelques résultats atteints en matière d'apprentissage, le partenairealgérien reste tributaire du savoir faire du partenaire étranger; ne permettantpas d'envisager un développement industriel autonome.
