The importance of the independence of the board of directors in corporate governance : descriptive study in joint-stock companies in Algeria

The financial scandals that have ensued in the world are the consequence of a lack of reliability of information and the existence of illegal behavior in regulations and directives.

We can qualify these deviant behaviors for several reasons, One of these reasons, cumulating management function and control function of the CEO, which is a problem for the governance of the company.

It is in this perspective that the objective of our article unfolds, which aims to show the importance of the independence of the board of directors in order to improve the effectiveness of control within the company.

Also, we will try in our study to describe the degree of this characteristic in Algerian joint stock companies.
