Shareholding Company is based on a management structure in which the board of directors is the executive body that draws the main directives and basic objectives of the company, monitors its work and appoints the chief executive officer.

It consists of members who hold shares in the company, which are not negotiable, and that guarantee their responsibility for management errors.

The Algerian legislator adopted this way of organization in the public economic corporation formed as a joint stock company, with the difference that the members of the board of directors belong to the public sector and are not shareholders whose shares guarantee their responsibility.

This system has proven its limitations due to weak financial incentives and the method of appointment, which is still subject to the control of the state supervision, and is not based on economic and commercial foundations.
