In the interest of the Joint stock company and in order to allow this entity to adapt to economic life and to cope with the various changes that may occur in its life, the Mauritanian legislator, as in other comparative legislation, establishes the right to modify the share capital, by increasing or reducing it.

However, the legislator surrounds this operation with several guarantees, the violation of these guarantees engages the criminal liability of the offender, as far as this violation relates to the procedures of the company or affects the procedures to be followed during the alteration of the capital of the company as stated in the provisions established by the legislator in the Mauritanian commercial code
