عالج البحث موضوع الآثار القانونية المترتبة عن عملية الاندماج بالنسبة للشركة الدامجة والمندمجة، وامتداد تأثيرها على حقوق الشركاء أو المساهمين والغير، وذلك وفقا لأحكام قانون الشركات العماني، لذا قمنا بتوضيح الآثار المترتبة عن عملية الاندماج كانقضاء مبتسر للشركة المندمجة بشكل جزئي، مع احتفاظها بشخصيتها المعنوية إلى حين إتمام عملية الاندماج بشكل كلي.
وعليه تطرح الدراسة مسألة أصول الشركة المندمجة وكيفية انتقالها إلى الشركة الدامجة، وهل تصبح خلفا عاما للشركة المندمجة وتتحمل التزاماتها ويكون لكافة أصحاب الحقوق والغير الحق في مطالبة الشركة الدامجة بتحمل الالتزامات ووفاء ديون الشركة المندمجة.
وقد خلصت الدراسة إلى ضرورة تحديد مفهوم اندماج الشركات في قانون الشركات التجارية العماني، والعمل على توضيحه في النصوص التشريعية المعدلة.

The research dealt with the issue of the legal implications of the merger process for the merging and merging company, and the extension of its impact on the rights of partners or shareholders and others, in accordance with the provisions of the Omani companies law.
when the integration process is fully completed.
accordingly, the study raises the issue of the assets of the merging company and how it is transferred to the merging company, and whether it becomes a general successor to the merging company and bears its obligations.
the study concluded that it is necessary to define the concept of corporate merger in the Omani commercial companies law, and work to clarify it in the amended legislative texts.
