English Abstract

The Study deals with the legislative framework of Venture Capital Companies and the role play in supporting start-up and medium businesses according to Jordan Companie s Law No.

(22) Of 1997 and its amendments and Venture Capital Companies regulation.

The researcher introduced the legal statutes mentioned in Jordan Companies Law and Venture Capital regulation; those statutes regulate this type of company.

The study tackles three parts : the first part presents different definitions for venture capital companies provided by a number of international financial organizations and legislations in addition to the definition presented by Jordan Companies Law.

This part also demonstrates the difference between the characteristics of such companies and businesses accelerators as there are common characteristic between their strategies, objectives and roles in supporting start-up and medium businesses.

The Second parts of the study highlight the legislations govern Venture Capital Company.

It started with mentioning the conditions required by Jordan company law to establish such companies.

Such conditions are general, special and formation ones.

Some special provisions mentioned in the Venture Capital Companies regulation govern the establishment of such companies have been discussed in the study such as agreements concluded between the partners.

The arrangement of financial and administrative matters for this company has been demonstrated through presenting the formation of the management and the responsibility entrusted to the managing partner.

Furthermore, provisions related to the company’s capital and the mechanisms of transferring of the shares have been identified.

This part also examined the legal termination methods for such company according to the regulation of venture Capital company, liquidation companies’ regulation and Jordan company law.

The third part highlighted the great role played by venture capital companies in supporting (start-up and medium businesses).

In the beginning, the definition of small and medium businesses in terms of economic, social, and legal standards, the importance of these businesses in sustainable development and their role in addressing the economic, social and humanitarian challenges for the country have been identified.

It also presents the way the venture capital companies fund the businesses by being partners for a limited period to promote the businesses and then withdraw from the invested project with a high-risk level.

Finally, a set of international practices related to venture capital companies have been examined to identify their importance and role in developing the investment and solving economic challenges facing countries.

The study concluded a number of recommendations represented by drafting a number of provisions mentioned in Jordan Company law and Venture Capital Regulation for the purposes of addressing the legislative shortcoming concerning these provisions.

The researcher advocated the idea of promoting the venture capital companies and the importance of their role among investors and entrepreneurs, in addition to other recommendations mentioned at the conclusion of the thesis.
