Preserving legal certainty during the pre-contractual phase requires the fulfillment, during negotiation, of three obligations; an obligation of information, an obligation of confidentiality and finally a partial obligation of exclusivity.

These obligations have been recognized in both Romano-Germanic and Anglo-Saxon legal regimes, which has enabled their adoption by international legal instruments, drawn up by jurists from different legal cultures.

The value of the duty to inform and its hold over contract law continues to increase.

It consists in putting the parties during the negotiations on the same footing of equality by making their decisions to contract or to abandon the negotiation considered as a condition of equilibrium of the contract, this obligation is opposed to the inequality caused by the 'exclusivity of information that is often important for the cocontracting party.

Its importance appears in particular "in areas where the respective knowledge of the parties seems so unequal that the situation of the most ignorant should be reinforced by making it the creditor of an obligation to provide information to , where the other party bears the fees

La préservation de la sécurité juridique durant la phase précontractuelle nécessite l’accomplissement, en cours de négociation, de trois obligations; une obligation d’information , une obligation de confidentialité et enfin une obligation partielle d’exclusivité.

Ces obligations ont été reconnues aussi bien dans les régimes juridiques romano-germaniques qu’anglo-saxons, ce qui a permis leur adoption par les instruments juridiques internationaux, élaborés par des juristes de différentes cultures juridiques.

La valeur de l’obligation d’information ainsi que son emprise sur le droit des contrats ne cesse d’augmenter.

Elle consiste à mettre les parties durant les négociations sur un même pied d’égalité en prenant leurs décisions de contracter ou d’abandonner la négociation considérée comme une condition d’équilibre du contrat, cette obligation s’oppose à l’inégalité causée par l’exclusivité des informations souvent importantes pour le cocontractant.

Son importance apparaît notamment « dans les domaines où les connaissances respectives des parties semblent à ce point inégales qu’il convient de renforcer la situation de la plus ignorante en la rendant créancière d’une obligation d’information à la charge de l’autre.
