تعاني المؤسسات من العديد من المشاكل التي تقف عائقا في وجه بقائها و تقدمها، و من بين أهم هذه المشاكل مشكلة التمويل، و التي يرجعها الكثير من الباحثين الى عدم مواءمة بيئة التمويل الخارجي مع الخصوصيات المالية لهذه المؤسسات، مما حتم عليها ضرورة البحث عن مصادر تمويلية حديثة و من بين أهمها رأس المال المخاطر، الذي بات يحتل مكانة هامة في الحد من المشاكل التمويلية للمؤسسات و تعتبر التجربة الأمريكية في هذا المجال كأحسن التجارب العالمية في هذا المجال.
Abstract EN
The aim of this study is to show that venture capital companies play a major role in providing modern financing sources to various institutions, especially for small and medium-sized enterprises, because it takes into account the financing specifics of these institutions.
By clarifying the concepts related to venture capital and studying the experience of venture capital in the United States of America, it was concluded that the development of this financing method in the United States coincided with the development of risk management and the adoption of modern management methods at the level of venture capital companies and their governance.

L'objectif de cette étude est de démontrer que les sociétés de capital-risque jouent un rôle majeur dans la fourniture de sources de financement modernes à diverses institutions, en particulier pour les petites et moyennes entreprises, car elle prend en compte les spécificités de financement de ces institutions.
Capital-risque et en étudiant l'expérience du capital-risque aux États-Unis d'Amérique, il a été conclu que le développement de ce mode de financement aux États-Unis a coïncidé avec le développement de la gestion des risques et l'adoption de méthodes de gestion modernes au niveau du capital-risque sociétés de capitaux et leur gouvernance
