هذه الورقة تهدف لمناقشة موضوعيين رئيسيين وهما الأحكام الشرعية المنظمة لعقد التأجير التمويلي، ثم بيان القواعد القانونية التي تنظم هذا العقد في دولة الكويت.
حيث ان عقد التأجير التمويلي هو نشاطا تمويليا للمشاريع الاقتصادية بما تحتاجه إليه من أصول منقولات أو عقارات، حيث يتم التمويل من خلال عقد حديث نسبيا ذو خصائص خاصة تجمع بين الإيجار والبيع في رأسمالية سواء كانت نفس الوقت.
عندما يتم تمويل المشاريع من خلال عقد التأجير التمويلي لا تحتاج الشركات طالبة التمويل اللجوء الى عقد القرض النقدي البسيط، ولا الى استئجار الأصول من خلال عقد الإيجار العادي المعروف في القانون المدني.
من الناحية الشرعية فلا يوجد ما يمنع من استحداث عقود جديدة تقتضيها متطلبات العصر من اجل تحقق المصالح المشروعة إذا توافر فيها الأركان والخصائص التي لا يخالف أحكام الشرع الحنيف.
كذلك يعتبر عقد التأجير التمويلي كوسيلة جيدة لاستثمار الأموال الفائضة لدى المؤسسات المالية بضمان بقاء ملكية العين المؤجرة لصالج المؤسسة المالية لحين سداد كامل الاقساط من قبل المستأجر.
بالنتيجة من خلال هذا العقد تضمن المشاريع الاقتصادية حصولها على ما تحتاج الية من أصول رأسمالية إذا لم يكون لديها القدرة على شرائها، أو لتفادي استخدام كامل رأس مالها النقدي في شراء الأصول الرسمالية، مع إمكانية تملك الأصول في نهاية المدة الإيجارية.
وعقد التأجير التمويلي مطبق من قبل المؤسسات المالية في الكويت وخصوصا الإسلامية منها، الا أنه لا يوجد قانون مستقل ينظم هذا العقد رغم وجود تشريع يجيز تأسيس شركات الإجارة ولكنه لم يتضمن أي أحكام تنظم عملية التأجير التمويلي، سوف يتم تناول الموضع من خلال ثلاث مباحث رئيسية وهي المبحث الاول حول المفهوم العام للتأجير التمويلي نشأته وأهميته، والمبحث الثاني يبحث في أطراف عقد التأجير التمويلي وخصائصه وصوره العملية، أما المبحث الثالث فيتناول البنية التشريعية والقانونية لعقد التأجير التمويلي والواقع التطبيقي له في الكويت وأثر جائحة كورونا على التزامات أطراف علاقته العقدية.
Abstract EN
This research aims to discuss two main topics, which are the legal provisions regulating the financial leasing contract and clarifying the legal rules regulating this contract in the State of Kuwait.
The financial leasing contract is a financing activity for economic projects that provides them with what they need in the form of capital assets, whether movables or real estate, without resorting to the simple cash loan contract, nor the lease of assets in the ordinary lease contract known in civil law, through a relatively recent contract that combines rent and sale at the same time.
From the Islamic point of view, leasing contract can be conducted in a form that does not contradict Islamic finance rules.
From an investment point of view, the financial leasing is a good way to invest the surplus funds of financial institutions by ensuring that the ownership of the leased property remains in their hands until the full payment is made by the lessee.
The financial leasing contract has several advantages.
It ensures that economic projects obtain what they need from capital assets in the event they are unable to purchase them and help them to avoid using their entire cash capital in the purchase of machinery and real estate, as well as enable them to escape borrowing.
On top of that, it gives the lessee the opportunity to own the asset at the end of the contract.
In Kuwait, the financial leasing contract is applied by financial institutions, especially Islamic ones, but there is no independent law regulating this contract.
Despite the existence of legislation that permits the establishment of leasing companies, it does not include any provisions regulating the process of financial leasing.
