Times new international racing in the conclusion of technology transfer contracts has imposed safeguards on manufacturers confidentiality; which is an obligation of the recipient to refrain from disclosing it, and therefore, if this obligation is breaches, it creates sanctions.

in this study, the concept of the obligation of confidentiality in the transfer of technology will be highlighted as an obligation of the parties, indicating the effects and sanction in they are breached.

one of the most important findings is that the obligation to preserve the confidentiality of information is to confidential information obtained from the other negotiator.

and disclosure results in damage to it, and therefore if it is breached at the negotiation stage and there is no preliminary contract between the parties liability, is subject to the provisions of tort liability, either if concluded, is subject to the provisions of contractual liability.
