تعتبر القابلية للتداول من الخصائص الجوهرية المميزة للأسهم و السندات، حيث أن تخلفها أو حظرها يفقدها وظيفتها، كما أن هذه الخاصية تعتبر من أهم مميزات المشاركة في شركة المساهمة على اعتبار أن هذه الأخيرة هي النموذج الأمثل لشركات الأموال، و التي تحتاج إلى رؤوس أموال ضخمة، و هذا ما لا يتحقق إلا عن طريق إصدار الأسهم و السندات من جهة و حرية تداولها من جهة أخرى.
و تهدف هذه الدراسة إلى الوقوف على أهم الأحكام التي أقرها المشرع الجزائري بخصوص تداول الأوراق المالية التي تصدرها شركة المساهمة (الأسهم و السندات)، لما لهما من إمكانية للتداول داخل البورصة و خارجها و ما يعترضهما من قيود قانونية و اتفاقية.
Abstract EN
The negotiability is one of the essential characteristics of stocks and bonds, as failure or prohibition of them loses their function, and this feature is considered one of the most important advantages of participating in a joint-stock company, given that it is one of the capital companies that need huge capital, which can only be provided through issuance of stocks and bonds on the one hand, and the freedom to trade them on the other hand.
this research paper aims to identify the most important provisions approved by the Algerian legislator regarding the trading of securities issued by the joint stock company (stocks and bonds), because they have the possibility of trading inside and outside the stock exchange and the legal and convention restrictions they face.
