Arabic Abstract

هدفت هذه الدراسة بشكل رئيسي إلى تقديم إطار نظري وعملي للشركات عينة الدراسة وهي الشركات الصناعية في العراق يشمل موضوع حوكمة الشركات وأثرها على الأداء المالي والتشغيلي لهذه الشركات تكون مجتمع الدراسة من الشركات الصناعية العراقية والمدرجة في بورصة العراق وعددها (28) شركة في قطاعات صناعية مختلفة، وتمثلت عينة الدراسة بالشركات التي لا تزال على قيد العمل حتى تاريخ إعداد هذه الرسالة وتتوفر جميع البيانات المالية المستخدمة في هذه الرسالة، وبذلك تكون عينة الدراسة عبارة عن (9) شركة صناعية حققت هذه الشروط خلال الفترة (2014-2019).

اعتمد الباحث المنهج الوصفي التحليلي والأسلوب الكمي لتقييم أثر الحاكمية المؤسسية على الأداء المالي والتشغيلي للشركات الصناعية العراقية، وتم استخدام أسلوب Panel data Analysis والتحليل الإحصائي الوصفي، وتحليل الارتباط، وتحليل الانحدار المتعدد لاختبار الفرضيات وتحليل النتائج.

بعد تحليل بيانات الدراسة واختبار الفرضيات فقد توصلت الدراسة إلى أن معايير الحاكمية المؤسسية المتمثلة (بعدد أعضاء مجلس الإدارة، ازدواجية الأدوار، استقلالية أعضاء مجلس الإدارة، الحوافز والمكافآت لأعضاء مجلس الإدارة، والملكية المؤسسية) كان لها اثرا ايجابيا على الأداء المالي للشركات مقيسا بالعائد على حقوق الملكية والعائد على السهم ونسبة توبن Q.

كما أظهرت الدراسة أن لمعايير الحاكمية المؤسسية لها اثر ايجابي على مؤشرات الأداء التشغيلي مقيسا بالعائد على الأصول وهامش صافي الربح بينما لم يكن هناك أثر لتطبيق معايير الحاكمية المؤسسية على معدل دوران الأصول.

وأوصت الدراسة بضرورة تطبيق معايير الحاكمية المؤسسية في الشركات العراقية الصناعية المساهمة العامة لما لها من أثر إيجابي على الأداء المالي والتشغيلي لهذه الشركات.

English Abstract

This study mainly aimed to provide a theoretical and practical framework for the study sample companies, which are the industrial companies in Iraq, including the issue of corporate governance and its impact on the financial and operational performance of these companies.

the study population consisted of the Iraqi industrial companies listed on the Iraq stock exchange, numbering (28) companies in different industrial sectors.

for (9) industrial companies that fulfilled these conditions during the period (2014-2019).

the researcher adopted the descriptive analytical approach and the quantitative method to assess the impact of corporate governance on the financial and operational performance of the Iraqi industrial companies.

panel data analysis method, descriptive statistical analysis, correlation analysis, and multiple regression analysis were used to test the hypotheses and analyze the results.

after analyzing the data of the study and testing the hypotheses, the study concluded that the standards of corporate governance represented (number of board members, dual roles, independence of board members, incentives and rewards for board members, and institutional ownership) had a positive impact on the financial performance of companies measured by the return on equity, return on share and Tobin q ratio.

the study also showed that corporate governance standards have a positive impact on operational performance indicators measured by return on assets and net profit margin, while there was no effect of applying corporate governance standards on the asset turnover rate.

the study recommended the necessity of applying the standards of corporate governance in the Iraqi industrial public shareholding companies because of their positive impact on the financial and operational performance of these companies.
