English Abstract
Abstract This paper reexamines the relationship between board of directors and firm performance in an emerging market.
Using a sample of firms Usted at the Casablanca Stock Exchange, we show that the firm performance (return on asset) is an increasing flmction of the board size and the percentage of foreigners in the board.
However, this relationship between firm performance and board of directors is not robust if we use some other measures of firm performance, for example return on equity and excess return.
Lower predictability of firm performance by board of directors may be due to inefficient nature of board of directors in Morocco.
One of the reasons of inefficient boards is that most of the firms in our sample have concentrated ownership structure, where controlling shareholder can appoint more than half of the board.
