The oil state owned enterprise (SONATRACH) is the real lifebood of the algerian economy.
Its insolent financial health cannot hide its governance problems.
In the light of the contemporary theories of the firm, this paper attemps to locate the fault current of its governance system.
Furthermore the system of gouvernance, other factors (organizational capacities, specific skills) can positively affect the performances of the firm.
The internal and external mechanisms of governance don’t exercise any pressions nor sanctions on the enterprise management.
Governance mechanismes are highly interrelated : any reform of one of the mechanisms cannot be achieved independently of the others.

L’entreprise publique pétrolière (SONATRACH) constitue le véritable poumon de l’économie algérienne.
Mais son insolente aisance financière ne saurait cacher les problèmes de gouvernance qui s’y posent A la lumière des théories institutionnelles contemporaines, ce papier se propose de localiser les problèmes et de les discuter dans une perspective d’améliorer ses performances au bénéfice non pas de son unique actionnaire qu’est l’Etat mais au profit de toutes les parties prenantes de la société algérienne dans sa globalité.
Le système de gouvernance intervient de façon privilégiée mais d’autres facteurs (capacités organisationnelles, compétences spécifiques) pourraient également intervenir.
Les mécanismes tant externes qu’internes semblent loin d’exercer de quelconques pressions ou sanctions sur le management de l’entreprise.
Les différents sous-systèmes sont étroitement liés; toute réforme de l’un des mécanismes ne peut se réaliser indépendamment de celle des autres.
