Through this study, we attempt to highlight the significance and the demands of many governments, international bodies and institutions through the necessity of establishing and applying corporate governance principles to address the Agency's problems arising from the separation of ownership from management and the conflict of interest between owners or shareholders who seeking to maximize their profits and to increase the company value; and directors or managers who aiming to direct and manage the company to achieve personal benefits and purposes.

The impact of this conflict on the developed countries economy is very serious, including shocks, financial crises, scandals and bankruptcies that many of the world's major companies have known.
